Reporting to the Head of Mergers & Acquisitions; the general purpose of this role is to lead any mergers, acquisitions, divestitures, initial public offerings, high yield debt offerings. 

Key Responsibilities:

Overall responsibility for the accounting requirements and project management for the successful execution of the following special projects:

  • Mergers & Acquisitions
  • Initial Public Offerings
  • Divestitures
  • High Yield Bond Offerings


Specific tasks required to be completed include:

  • Preparation of audited carve-out financial statements
  • Preparation of pro-forma financial statements
  • Completing management discussion and analysis, capitalisation tables, dilution tables and pro-forma tables in the respective offering documents
  • Conducting buy and sell side due diligence as required
  • Completing Purchase Price Accounting for acquisitions of controlling stakes
  • Assisting with the successful integration of the above projects into the company
  • Assisting executive management with the evaluation of future special projects


Scope & Key Interfaces:

  • This person shall have a regular dialogue with the Director of Treasury, Investor Relations Manager, Director of Tax, regional Finance Directors & VPs and other senior Corporate Executives.
  • In addition, they will be responsible for relations with external auditors, lawyers and bankers involved on the various transactions they work on.



Who we're looking for

Education/Qualifications:

  • 2.1 or higher degree level - preferably within a numerical discipline
  • ACA / ICAS / ACCA or equivalent qualified


Required knowledge:

  • Understanding of SEC and other regulatory requirements related to the special projects mentioned above; financial and accounting practices and procedures in a multinational company environment; USGAAP exposure highly regarded.


Background required:

  • Significant M&A and / or Capital Market transaction exposure from a 'Big Four / Top 10 Accounting Firm'
  • Previous experience within an Audit team
  • Experience in the Oil & Gas industry is preferable.


Skills/abilities:

  • Strong analytical, interpersonal and communication skills
  • Confidence to work in and drive an environment of change.


*Please note - this role requires significant international travel so the successful candidate must be available to work periods of time abroad.


What's on offer

Salary range £65k - £85k + a highly competitive package including a car allowance & bonus scheme
